Functie

Samen met een ervaren werkstudent adviseer en rapporteer je direct aan de managing director van de organisatie. Als Manager Legal & Compliance is het jouw missie het bedrijf duurzaam te laten groeien binnen de geldende wet- en regelgeving. Je zorgt ervoor dat de organisatie aantoonbaar voldoet aan ACM-toezicht, wettelijke verplichtingen en contractuele afspraken en fungeert als strategisch sparringpartner voor het management.  Je signaleert proactief juridische en compliance-risico’s (o.a. ACM, Energiewet, AVG, consumentenrecht) en vertaalt deze naar concrete beheersmaatregelen. Je volgt relevante ontwikkelingen in wet- en regelgeving op de voet en vertaalt deze naar impactanalyses en acties voor de organisatie. Daarnaast ontwikkel, onderhoud en implementeer je beleid, procedures en templates (contracten, Algemene voorwaarden, disclosures). Tot slot adviseer je het MT en management bij juridische kwesties, conflicten en strategische beslissingen, waarbij je zowel oog hebt voor de risico’s, als de commerciële impact.

Functie-eisen

· 3 t/m 6 jaar ervaring als advocaat, bedrijfsjurist of bij een toezichthouder en je hebt goede kennis van en ervaring met (in ieder geval) één van de volgende rechtsgebieden; het energierecht, het mededingingsrecht óf commerciële contracten. 

· Je werkt zelfstandig en durft verantwoordelijkheid te nemen. 

· Je bent flexibel, gedreven, hebt een open houding, staat stevig in je schoenen en bent resultaatgericht. 

· Je komt goed tot je recht in een brede en afwisselende legal & compliance functie waarin je meedenkt in toekomstgerichte oplossingen, grip hebt op processen en projecten en richtinggevend adviseert.

Functie

Als Senior Jurist adviseer je de business units en de externe opdrachtgevers (zoals gemeentes, provincies, projectontwikkelaars etc.) over alle voorkomende juridische vraagstukken op het gebied van bouw en vastgoed, vaak in combinatie met het projectteam. Zo werk je mee aan, en geef je strategisch advies over selectieprocedures en aanbestedingen, ben je betrokken bij het opstellen van koopovereenkomsten, ontwikkelingsovereenkomsten, adviseursovereenkomsten en overeenkomsten van aanneming van werk. Daarnaast wordt gebruik gemaakt van jouw kennis op het gebied van huurrecht en zakelijke rechten als appartementsrechten en erfpacht. Ook gebiedsontwikkeling komt aan bod, zoals het adviseren aangaande publiekrechtelijke aspecten van vastgoed (omgevingswet, omgevingsplannen, planschade en onteigening).

Functie

Als Legal Counsel krijg je direct veel verantwoordelijkheid en speel je een essentiële rol in de regelgevende aspecten van Marktlink. Met name in fondsstructureringen, investeringsdocumentatie en financiële regelgeving. Je bent daarnaast verantwoordelijk voor het opzetten van nieuwe fondsen (feeders, fund of funds), het opzetten en controleren van juridische documenten zoals: fondsovereenkomsten, PPM, KID, etc. Ook behoort het juridisch beoordelen van marketingmaterialen en andere documentatie tot je werkzaamheden. Uiteraard ben je op de hoogte van relevante wet- en regelgeving, met een focus op AIFMD, DORA en bredere financiële wetgeving. Verder verzorg je ad hoc juridische ondersteuning aan het salesteam en je houdt je bezig met het ontwikkelen van templates (aanbrengovereenkomsten, transfer agreements etc.). Wil je juridisch investeringen begeleiden van het investment team, daar is ook ruimte voor. De werkzaamheden van de General Counsel en van jou overlappen regelmatig, waardoor een goede onderlinge samenwerking van groot belang is. Tot slot word je geacht om waar nodig externe counsel, zoals advocaten, notarissen en fiscalisten, aan te sturen.

Functie-eisen

· Master Nederlands Recht, ongeveer 4 tot en met 8 jaar ervaring als advocaat of bedrijfsjurist binnen een financiële instelling in combinatie met sterke affiniteit of kennis van de relevante financiële regelgeving, waaronder AIFMD en DORA;

Due to a recent retirement of a Senior Legal Counsel, InsingerGilissen is looking for an experienced Senior Legal Counsel to join their team. In this role you will have the opportunity to broaden your legal skills.

Your responsibilities include (but are not limited to):

· provide state-of-the-art legal advice on a very broad range of topics within private retail banking, investment fund solutions, HR, IT (e.g. on new financial products), litigations and financial intermediary services.
